We are a global nutrition company that has helped people pursue a healthy, active life since 1980. Our nutrition, weight-management and personal care products are available exclusively through dedicated independent Distributors in more than 80 countries.

CORPORATE GOVERNANCE

The methods and policies that relate to directing and administering our short-term and long-term goals as a company are in place to ensure accountability and economic efficiency for our stakeholders. With consistent focus in these areas, we met independence criteria almost one year early, and we meet all NYSE-listed public company requirements for transparency.To ensure continuing gains in this area, we created the independent post, director-in-charge of executive sessions, which will be held on a rotating, annual basis by an independent director, and will facilitate executive meetings of the board’s independent directors.

We strive for consistent enforcement of compliance regulations and are committed to providing a level playing field for all our independent Distributors. Those who do not comply are disciplined, suspended or terminated. We require annual ethics training for all employees, worldwide.





HERBALIFE FAMILY FOUNDATION

We support the Herbalife Family Foundation (HFF) and its Casa Herbalife program, which provides funding to improve nutrition to charitable organizations taking care of children-at-risk around the world. HFF also supports disaster relief efforts around the globe, including raising funds to reconstruct damaged areas of communities and help evacuate survivors.





GAIN FUTURE FORTIFIED CAMPAIGN

Herbalife is proud to work with The Global Alliance for Improved Nutrition (GAIN) and DSM Nutritional Products, a producer of vitamins and a broad range of nutritional ingredients, around GAIN’s new Future Fortified campaign. The campaign seeks to help millions of women and children around the world access the essential nutrients they need to lead healthy, enriched lives. The global nutrition campaign was unveiled during the annual meeting of the Clinton Global Initiative in New York City on September 21, 2011.

LIVE GREEN

We earned credits for efforts in Sustainable Sites, Water Efficiency, Energy and Atmosphere, Materials and Resources and Indoor Environmental Quality. Herbalife works on an ongoing basis to encourage its employees and independent Distributors to ‘Live Green’ through a variety of programs and education. These include car and vanpools, using biodegradable and recycled materials, conservation, and reusing and eliminating hazardous materials such as plastic bags and Styrofoam cups.















OUR SCIENCE
Everything we do starts with great products; and all our products start with proven science. Herbalife is dedicated to developing innovative, effective products that comply with the highest research, development and manufacturing standards in the industry.





RESEARCH & DEVELOPMENT
Herbalife is committed to setting the standard by which all nutrition companies are measured. We are advancing the science of nutrition through scientific research conducted around the world. Since 2003, we've increased our research and development expenditures dramatically to advance the product-development process.

In 2011 the company spent approximately $25 million on the combined scientific areas of R&D, technical operations, scientific affairs, quality assurance/quality control, product safety and compliance. The company spent an additional $11 million on nutrition affairs, product licensing and strategic sourcing.

At Herbalife, there are 180 scientists on staff, of which 19 have PhDs. The company’s internal staff is supplemented with 30 consulting scientists, all with PhDs. From January 2011 to date (March 2012), the company has initiated 12 clinical studies, of which five relate specifically to the Formula 1 product.

Note: Formula 1 is an existing product, which excludes it from R&D expenses reported under current FASB rules, which only allow expenses to be classified as R&D if they relate to new products or "significant" changes to existing products.





QUALITY ASSURANCE
Product integrity, safety and efficacy have always been Herbalife’s top priorities. We invest in new technology and research as part of our commitment to providing innovative, science-based nutrition products. Ingredients used in our products are also found in many foods. Our materials (including botanical ingredients) are globally sourced from reputable suppliers and our products are manufactured in accordance with established quality standards. Product quality is verified at our in-house laboratory with state-of-the-art testing equipment. The Herbalife quality team conducts regular audits and inspections of suppliers and contract manufacturers to ensure compliance. 





MANUFACTURING
Herbalife complies with the applicable requirements of all regulatory bodies wherever we do business. In the United States, all of our products comply with and are labeled according to the Food and Drug Administration (FDA) regulations. Outside of the United States, we comply with and are regulated by the various ministries of health and food standards agencies where we do business. Through the acquisition of assets at Micelle Laboratories, a California contract manufacturer of food and dietary supplements, we are able to enhance our global product development and supply chain to better support our dedicated independent Distributors. It allows us to increase the speed to market for new products while controlling quality along each step of the manufacturing process, from raw ingredients to finished products – part of our ongoing commitment to excellence.






CLINICAL STUDIES
We are currently conducting several clinical studies with major universities around the world in order to benchmark the efficacy of various products. Three clinical studies using our Formula 1 Nutritional Shake Mix were done: one atUCLA*, United States, one at the University of Ulm, Germany and one at Seoul National University Hospital in Korea. The studies conducted demonstrated that drinking Formula 1 shakes every day as meal replacements is an effective way to manage weight. A clinical study using Niteworks was also conducted at UCLA which concluded that the anaerobic threshold in men between the ages of 50 and 73 increased when drinking Niteworks every night.





NUTRITION ADVISORY BOARD (NAB)
As an extension of our commitment to quality and scientific integrity, Herbalife has established a Nutrition Advisory Board (NAB) comprised of leading experts in the fields of nutrition and health who help educate and train our independent Distributors on the principles of nutrition, physical activity and healthy lifestyle.
